I herby accept and agree to the following terms and conditions:

In this agreement, the party who is contracting to receive services shall be referred to as “CLIENT”, and the party who will be providing the services shall be referred to as “SEO ONE, Inc.”.  SEO ONE, Inc. has a background in Website marketing, Database, and Application development and is willing to provide services to CLIENT based on this background.  CLIENT desires to have services provided by SEO ONE, Inc.  Therefore, the parties agree as follows:

1.	DESCRIPTION OF SERVICES.  SEO ONE, Inc. will provide web marketing services, defined as follows (collectively, the “Services”): SEO SILVER

1.	Google Local Search submission
2.	Yahoo Local Search Submission
3.	Search Engine Submissions to 150 search engines including major search engines and directories such as Google, Yahoo, AOL and many more 
4.	Submission to secondary engines and targeted directories 
5.	Creation of a search engine friendly sitemap for better crawling of your site

2.	PERFORMANCE OF SERVICES, The manner in which the services are to be performed as the specific hours to be worked by SEO ONE, Inc. shall be determined by SEO ONE, Inc.  CLIENT will rely on SEO ONE, Inc. to work as many hours as may be reasonably necessary to fulfill SEO ONE, Inc.’s obligations under this agreement.

3.	PAYMENT.  Client agrees to pay the total sum of $99 per month. This includes, set up, management, and tracking. All payments are non refundable.

4.	ERRORS / OMISSIONS:  If through actions of Client, their employees, contractors or designers, SEO ONE’s optimization code or work is altered or removed, said work will be restored by SEO ONE at the expense of the client at the rate of $125 per hour with a 2 hour minimum.  Such an error will also extend the contract between SEO ONE and Client by 1 month per occurrence.

5.	KEYWORDS: Keywords will be placed on an excel spreadsheet with the page name next to it. This will give the client a chance to shuffle keywords around on the sheet to match what page they should go on. Client will also be required to sign off on keywords list stating they understand how many keywords they are getting per page, and which page they appear on.

6.	ACCESS: Clients will provide the correct, complete and accurate FTP information to allow SEO ONE to access web site files for optimization. FTP access will be given via phone (for privacy) and tested while tech is on the phone. If we cannot access client’s site, client will obtain the correct access to the site and call SEO ONE to provide it.  If FTP access changes at any time, client is required to notify SEO ONE, and set up a call time to gain access.

7.	DISCLOSURE.  SEO ONE, Inc. is required to disclose any outside activities or interests, including ownership or participation in the development of prior inventions that conflict with the best interests of CLIENT.  Prompt disclosure is required under this paragraph if the activity or interests or related directly or indirectly, to any activity that SEO ONE, Inc. may be involved with on behalf of CLIENT.

8.	ON-PAGE OPTIMIZATION: There will be “on-page” optimization. Client will see some keywords in bold. If Client does not want this, client must specifically state they do not want bolded keywords in writing or, by default they will be added. This greatly helps rankings but we also understand the client may desire the current look of the site over the bolded keywords. If client does not want bolded keywords after they agreed to it, the normal $125 per hour rate would apply to remove them.

9.	INTELLECTUAL PROPERTY.  At the end of the contract, if the client does not renew with SEO ONE, Inc; the old web site copy we have on file can be placed online for the client at no additional charge by SEO ONE.  However if for any reason the client and SEO ONE, Inc. mutually agree to terminate the contract prematurely the client will be charged a $450 replacement fee to remove SEO ONE’s optimization.  Upon contract maturity if Client elects not to renew contract SEO ONE’s copyrighted workmanship will be required to be removed by client.

10.	COPYRIGHT:  All of SEO ONE’s optimization techniques are registered copyrights.  Client shall be granted rights to enjoy use of copyrighted techniques of SEO ONE’s optimization process for the length of the above contract.

11.	REPORTING: Clients reporting will be available one month after benchmark reporting. Reports will be emailed out and a read receipt will be requested. Initial rankings could take up to 8 weeks.

12.	NOTICES.  This contract will automatically renew at the same rate unless 30 days written notice is given.  The contract length is for 12 months, PPC may be canceled at anytime.  All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person, by confirmed email or deposited in the United States Mail, postage prepaid.

Either party may change such address from time to time by providing written notice to the other in the manner set forth above.

13.	ENTIRE AGREEMENT.  This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written, This Agreement supersedes any prior written or oral agreements between the parties.

14.	APPLICABLE LAW.  The laws of the state of Texas county of Collin shall govern this Agreement.
